Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website at norteleads.com (the “Site”) and any related services (collectively, the “Services”) provided by Norte Leads LLC, a Wyoming limited liability company (“Norte Leads,” “we,” “us,” or “our”).

Please read these Terms carefully. By accessing or using the Site or the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Site or the Services.

1. Eligibility

The Site and the Services are intended for business use by companies operating in the commercial finance and trucking sectors. You must be at least 18 years old and legally authorized to bind the company you represent. By using the Site, you represent and warrant that you meet these requirements.

2. Nature of the Services

Norte Leads is a lead generation service. We identify, qualify, and deliver business-to-business sales leads — specifically, U.S. commercial motor carriers — to freight factoring companies and other approved buyers.

Norte Leads is not a lender, factor, broker, financial advisor, investment advisor, or law firm. We do not fund invoices, purchase receivables, underwrite credit, or provide legal, financial, or tax advice. Nothing on the Site should be construed as an offer to extend credit or a solicitation to enter into a financial transaction.

3. Test packages, orders, and payment

Test packages and standing supply orders are subject to a separate written agreement (“Order Agreement”) executed between Norte Leads and the client. The Order Agreement governs specific terms including price per lead, package size, delivery method, replacement policy, and payment terms.

To the extent of any conflict between these Terms and an executed Order Agreement, the Order Agreement controls.

4. Lead quality and replacement

We commit to the data quality standard published on the Site (see /quality.html). Leads that fail our stated data quality standard at the point of delivery will be replaced or credited at our sole discretion per the Order Agreement.

Norte Leads does not guarantee that any lead will result in a sale, funded invoice, or executed factoring agreement. Conversion depends on numerous factors outside our control, including the client’s sales process, offer, response time, and market conditions.

5. Acceptable use

You agree not to, and agree not to attempt to:

• Use the Site or the Services for any unlawful, fraudulent, or deceptive purpose;
• Resell, redistribute, or re-market leads to third parties without our prior written consent;
• Contact lead subjects for any purpose other than the specific purpose for which the lead was purchased;
• Reverse engineer, scrape, or otherwise attempt to extract source code or data from the Site;
• Interfere with, disable, or overload the Site or any related infrastructure;
• Impersonate any person or misrepresent your affiliation with any company;
• Violate any applicable law or regulation, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or any state or federal consumer protection law.

6. Compliance responsibility

You are solely responsible for compliance with all laws and regulations applicable to your outreach to lead subjects, including but not limited to laws governing telemarketing, text messaging, email marketing, do-not-call registries, and consumer credit. Norte Leads makes no representation that any specific outreach method is compliant with your jurisdiction’s laws.

7. Intellectual property

The Site, including all content, design, code, logos, and trademarks, is owned by Norte Leads or its licensors and is protected by U.S. and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Site for its intended business purpose. All other rights are reserved.

8. Third-party links and services

The Site may contain links to third-party websites or services that are not owned or controlled by Norte Leads. We are not responsible for the content, policies, or practices of any third-party website or service.

9. Disclaimers

The Site and the Services are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied. To the fullest extent permitted by law, Norte Leads disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site is free of viruses or other harmful components.

10. Limitation of liability

To the fullest extent permitted by law, in no event will Norte Leads or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Site or the Services, whether based in contract, tort, strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

Our aggregate liability arising out of or related to these Terms or the Services will not exceed the greater of (a) the amounts paid by you to Norte Leads in the six (6) months preceding the event giving rise to the claim, or (b) one thousand U.S. dollars (US$1,000).

11. Indemnification

You agree to indemnify, defend, and hold harmless Norte Leads and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (i) your use of the Site or the Services, (ii) your breach of these Terms, (iii) your violation of any law or the rights of a third party, or (iv) your outreach to any lead subject.

12. Governing law and venue

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. Any action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.

13. Dispute resolution

The parties will attempt in good faith to resolve any dispute through informal negotiation before initiating any formal legal action. Either party may require that any dispute not resolved through informal negotiation within thirty (30) days be resolved through binding arbitration administered by a mutually agreed arbitration provider in Wyoming, under its then-current rules.

14. Termination

We may suspend or terminate your access to the Site or the Services at any time, with or without cause and with or without notice. Upon termination, the provisions of these Terms that by their nature should survive termination will survive, including Sections 7 through 15.

15. Miscellaneous

Entire agreement. These Terms, together with any executed Order Agreement and our Privacy Policy, constitute the entire agreement between you and Norte Leads regarding the Site and the Services.

Severability. If any provision of these Terms is held to be unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.

No waiver. No failure or delay in exercising any right under these Terms will operate as a waiver of that right.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without notice or restriction.

Changes. We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Your continued use of the Site after changes are posted constitutes acceptance.
